The Royal Reflection Club is a collection of digital artworks (NFTs) hosted on the Ethereum network. This website serves as an interface to enable participants to exchange and purchase digital collectibles. Users are responsible for ensuring the security and management of their own private Ethereum wallets, as well as validating all transactions and contracts generated by this website prior to approval. It is important to note that transactions on the Ethereum network, including the Royal Reflection Club smart contract, cannot be undone or redone.

This website and related services are provided „as is“ and „as available“ without warranty of any kind. By using this website, you accept sole responsibility for all transactions relating to Royal Reflection Club digital collectibles.

1.Property

A.You own the NFT. Each Royal Reflection NFT is an NFT on the Ethereum blockchain. When you buy an NFT, you own the full art of the underlying Royal Reflection. Ownership of the NFT is mediated solely through the smart contract and the Ethereum network: at no time may we confiscate, freeze or otherwise alter ownership of any Royal Reflection NFT.

B. Personal Use. Subject to your continued compliance with these Terms, PabloRival.Art grants you a worldwide, royalty-free license to use, reproduce, and display the purchased art, and any enhancements you create or choose to use, solely for the following purposes: (i) for your personal, non commercial use; (ii) as part of a marketplace that allows for the buying and selling of your Royal Reflection/NFT, provided that the marketplace verifies the rights of each Royal Reflection owner to ensure that only the actual owner can view the artwork, and (iii ) as part of a third-party website or application that allows embedding, engagement or participation in your Royal Reflection

C.Commercial Use: Subject to your continued compliance with these Terms, PabloRival.Art grants you an unlimited, worldwide license to make commercial use of the purchased art. This use includes permission to use, reproduce and display the purchased art to create derivative works from it. An example of such a commercial use would be using the art to make and sell merchandise such as t-shirts featuring the art.

D. For the avoidance of doubt, this Agreement does not prevent you from (i) owning or operating a marketplace that facilitates the sale of Royal Reflection/NFT and use of the Art generally. However, in doing so, the marketplace must safeguard the rights of each Royal Reflection/NFT owner by ensuring through cryptographic verification that only the actual owner can view the art associated with their Royal Reflection/NFT; (ii) own or operate any third party website or application that facilitates the inclusion, involvement or participation of Royal Reflection/NFT generally. In this case, the third-party website or application must also guarantee the rights of each Royal Reflection/NFT owner by using cryptographic verification to ensure that only the actual owner can view the art. Also, it should be noted that once the owner of the purchased M Royal Reflection/NFT leaves the website or application, the art will no longer be visible, or
(iii) To generate revenue from the foregoing, provided that the third party website or application cryptographically verifies each Royal Reflection/NFT owner’s rights to view the Artwork for their Royal Reflection/NFT to ensure that only the actual owner can view the artwork. Also, once the owner of the purchased Royal Reflection/NFT exits the website/application, the artwork should no longer be visible.

Aside from rights in the art, this text does not grant you any rights in any other trademarks or intellectual property rights of PabloRival.Art (owner Kay Heidl), including but not limited to Royal Reflection/NFT and associated logos. All these rights are expressly reserved on behalf of PabloRival.Art (owner Kay Heidl).

1.Feedback:
You may submit comments, bug reports, ideas, or other feedback about the Site, particularly for improving the Site (collectively, „Feedback“). By submitting feedback, you agree that we may use the feedback in any way we choose without additional compensation to you. Additionally, you hereby grant us a perpetual, irrevocable, nonexclusive, worldwide license to incorporate and use the Feedback for any purpose.

2.Your duties:

You are solely responsible for your own conduct when accessing or using the Website and for any consequences resulting therefrom. You agree to use the Website only for lawful and proper purposes and to comply with these Terms of Use and all applicable laws and regulations. The following are examples of what you may not do and may not allow third parties to do:

(i) You are prohibited from posting, uploading, distributing or disseminating any unlawful, defamatory, harassing, abusive, fraudulent, hateful, violent, obscene or otherwise objectionable content.

(x) Gathering of information through the Website for unauthorized purposes using technology is prohibited.

(xi) Accessing or using the Website to create a product or service that competes with our products or services is prohibited.

(viii) You may not modify, adapt, translate or reverse engineer any part of the Website.

(ix) You are prohibited from removing any copyright, trademark or other proprietary rights notices contained on or on the Website or any part thereof.

(x) You are prohibited from using any technology to collect unauthorized information through the Website.

(xi) Accessing or using the Website to create a product or service that is competitive with our products or services is prohibited.

3.Fees and Payment:

If you choose to purchase a Royal Reflection/NFT through the website, all financial transactions will be processed exclusively through the Ethereum network. We have no insight into or control over these payments or transactions, and we cannot reverse transactions. We will not be liable to you or any third party for any claims or damages arising out of any Transactions you make or any other Transactions over the Ethereum Network.

Ethereum charges a transaction fee (a „Gas Fee“) for every transaction on the Ethereum network. The gas fee is used to fund the network of computers that run the Ethereum decentralized network. This means that you have to pay a gas fee for every transaction.

B. Ownership of a Royal NFT merely confers ownership of digital artworks. Therefore, nothing on this website (or any other document referred to on it) constitutes or should be considered as advice or an invitation to enter into an agreement for any investment purpose. Furthermore, nothing on this website shall be qualified or intended as an offer of securities in any jurisdiction, nor does it constitute an offer or solicitation to participate in any particular investment.

C. You bear all risks associated with the use of an Internet-based currency, including but not limited to hardware, software and Internet connection risks, the risk of malicious software and the risk of unauthorized third party access to information in your wallet.

D. NFTs, cryptocurrencies and blockchain technology are relatively new and the regulatory situation is still uncertain. New regulations could adversely affect these technologies and affect the value of your Mutant Ape. You understand and accept all risks involved.

E. You assume full responsibility for any negative impact of any disruption or other issue affecting Ethereum or the Ethereum Platform.

Damages:

You agree to indemnify and hold MAYC and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners harmless from any claim, liability, loss, damage (both direct and consequential) of any kind and nature, and actions indemnify and hold harmless, including judgments, costs of action and reasonable attorneys‘ fees, arising out of or in any way related to (i) your breach of these Terms, (ii) your misuse of the Site, or (iii) your violation of any applicable law , rules or regulations relating to your access to or use of the Website.

Changes to the General Terms and Conditions:

We reserve the right to make changes to the Terms at our sole discretion. Please check these Terms periodically for any changes. Any changes to the Terms will be effective from the time they are posted, and your continued access to or use of the Site after the Terms have been updated will constitute your binding acceptance of the updates.
